By accessing or using DrawStack ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may update these terms from time to time, and your continued use constitutes acceptance of any changes.

2. Description of Service

DrawStack is a construction draw management platform that enables general contractors (GCs) and lenders to manage the construction loan disbursement process. The Service includes project management, draw request creation, document storage, lender collaboration, and generation of industry-standard documentation.

3. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring the accuracy of information you provide
• Complying with applicable laws and regulations in your use of the Service
• Obtaining necessary consents before sharing third-party information

4. Payment Terms

DrawStack offers subscription-based pricing through Stripe. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscription fees are non-refundable except as required by law
• You may cancel your subscription at any time; access continues until the end of your billing period
• We may change pricing with 30 days notice

5. Data Ownership

You own your data. All project data, draw applications, financial records, uploaded documents, and other content you create or upload to DrawStack remains your property.

• DrawStack does not claim ownership of your project or financial data.
• You grant DrawStack a limited license to process your data solely to provide the Service.
• We do not sell your data to third parties.
• Upon account termination, you may request an export of your data within 30 days.

6. Intellectual Property

The DrawStack platform, its software, branding, and features are owned by DrawStack, Inc. and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works of the DrawStack platform without our written consent.

7. Limitation of Liability

DrawStack is a tool for tracking and managing construction draw requests. It is not a substitute for professional financial, legal, or accounting advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAWSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
